Voting Trust Agreement

This is an agreement whereby stockholders of the company transfer their vote to a voting trustee to vote the shares on their behalf. This helps to make the voting on corporate affairs more efficient, especially in companies with many stockholders, or where certain stockholders do not have an active interest in voting on company matters - particularly in the case of early investors in a startup company.
